My son applied a boarding school in UK. The school says admission is merit-based. What does it mean ?

It basically means that their admission process is selective and only students who achieve good grades (or at least acceptable to their school's standard) will be admitted.

Does it mean that admission is basically dependent on the marks of entrance exam ? I guess so although school reference, school visit and interview performance are taken into consideration. To be realistic, high marks=high chance, right ?

Yes, you can interpret it in that way.
Merit-based admission policy basically means that the school is selective of its prospective students. It could mean high marks in the entrance exam, great academic record in the past up to now, or the combination of both (or all, if you take into account of other elements like references and interview)
But yes, excellent performance = high chance basically.
